1. Preamble and Acceptance of Terms

PLEASE READ THIS TERMS OF SERVICE AND END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE DOWNLOADING, INSTALLING, PURCHASING A LICENSE FOR, OR USING THE KLANG SOFTWARE APPLICATION ("SOFTWARE") OR ACCESSING ASSOCIATED WEBSITES OPERATED BY VIGAM LABS.

This Agreement constitutes a legally binding contract entered into by and between you, whether personally or on behalf of an entity ("Licensee", "User", or "you"), and VIGAM Labs, an Indian business entity having its principal office in Bengaluru, Karnataka, India ("VIGAM Labs", "Company", "we", "us", or "our"), governing your access to and use of KLANG and all associated documentation, executables, updates, and website properties.

By checking any acceptance box, downloading, installing, copying, activating, or otherwise utilizing the Software, you acknowledge that you have read, understood, and unconditionally agree to be bound by the terms and conditions set forth herein.

2. Commercial Structure and Merchant of Record

2.1 Authorized Reseller and Merchant of Record

You acknowledge and agree that all commercial order processing, payment collection, invoicing, currency conversion, and sales tax/VAT remittance for paid digital licenses of the Software (including KLANG Pro) are conducted directly by our authorized reseller and Merchant of Record, Dodo Payments Inc. ("Dodo Payments"), a Delaware corporation located at 228 Park Ave S, PMB 54407, New York, NY 10003, United States.

2.2 Dual Contractual Relationships

When placing an order for the Software:

Financial Transaction: Your payment and transaction contract is entered into directly with Dodo Payments under Dodo Payments' Buyer Terms and Privacy Policy. Dodo Payments is solely responsible for billing, transaction authorization, payment security, and invoice issuance.
Software License & IP: Your license to install, execute, and utilize the Software is granted directly by VIGAM Labs under the terms and limitations of this Agreement.

3. License Grants, Tiers, and Device Restrictions

3.1 License Tiers

Subject to the terms and conditions of this Agreement, VIGAM Labs grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and execute the Software under one of the following applicable tiers:

KLANG Free Tier (Evaluation License): Provides a limited, royalty-free evaluation license to install and use the basic features of the Software to index, catalog, and query up to a maximum threshold of two thousand five hundred (2,500) local audio files. This tier is provided for evaluation, personal, and educational purposes.
KLANG Pro Tier (Perpetual Commercial License): Upon payment in full of the one-time license fee through our Merchant of Record, VIGAM Labs grants you a perpetual, commercial, royalty-free license to index unlimited local audio files, search and organize synthesizer sound patches (including Vital presets), and utilize the Software for commercial and non-commercial music and sound design production.

3.2 Single-Device (1 Machine) Activation Limit

A single KLANG Pro license key authorizes activation and execution on exactly one (1) unique physical computer or operating system environment at any given time.

You may not activate, run, or share a single license key across multiple computers simultaneously.
If you upgrade, replace, or transfer your hardware, you must deactivate or remove the license from your previous device prior to activating the license on the replacement machine.
Any unauthorized multi-workstation deployment, concurrent network execution, or automated sharing of license keys constitutes a material breach of this Agreement and will result in the immediate revocation of the associated license key without refund.

4. Intellectual Property and Absolute Content Ownership

4.1 Ownership of the Software

The Software, including its source code, compiled machine binaries, object code, algorithmic structures, digital signal processing (DSP) logic, user interfaces, branding, icons, and visual assets, is the sole and exclusive intellectual property of VIGAM Labs. The Software is licensed, not sold.

4.2 Absolute User Content Ownership Guarantee

YOU RETAIN SOLE, ABSOLUTE, AND EXCLUSIVE INTELLECTUAL PROPERTY OWNERSHIP OF ALL AUDIO SAMPLES, RECORDINGS, SOUND EFFECTS, STEMS, SYNTHESIZER PRESETS, MUSICAL COMPOSITIONS, AND METADATA INDEXED, PROCESSED, AUDITIONED, OR EXPORTED THROUGH THE SOFTWARE.

VIGAM Labs asserts zero ownership, copyright, royalty, licensing rights, or claims over your creative musical works or sample libraries. The Software operates strictly as a local productivity tool for your existing audio files.

5. User Covenants and Restrictions

You expressly agree that you will not, directly or indirectly:

Decompile, disassemble, reverse engineer, decrypt, extract, or attempt to derive the source code, underlying neural network models, or proprietary algorithms of the Software;
Modify, adapt, translate, alter, or create derivative works of the Software or any portion thereof;
Rent, lease, loan, sell, sublicense, distribute, assign, host, outsource, or commercially exploit the Software or your license key to any third party;
Circumvent, disable, bypass, or tamper with any digital rights management (DRM), licensing checks, or cryptographic machine validation mechanisms within the Software;
Distribute, leak, publish, or share license keys, validation tokens, or activation files on public forums, repositories, or keygen networks.

6. Local-First Operation and Zero-Telemetry Disclosure

The Software is engineered under a strict offline-first operational model:

Zero Audio Uploads: Your sample libraries, directory paths, file names, audio waveforms, neural embeddings, and index databases are processed and stored exclusively on your local storage device. No audio content is ever uploaded, streamed, or synchronized to external cloud servers.
Zero Software Telemetry: The desktop Software does not incorporate background analytics SDKs, session recording trackers, user behavioral monitoring, or automated error/crash reporting modules.
Offline Execution: Following initial license key verification, the Software operates fully disconnected from the internet.

7. Fees, Taxes, and Strict No-Refund Policy

KLANG Pro is sold strictly as a one-time perpetual digital software license. There are no recurring subscription fees, automatic renewal charges, or hidden maintenance costs.

STRICT NO-REFUND POLICY: ALL SALES OF KLANG PRO DIGITAL SOFTWARE LICENSES ARE FINAL AND STRICTLY NON-REFUNDABLE. BECAUSE VIGAM LABS PROVIDES AN UNRESTRICTED KLANG FREE EVALUATION VERSION THAT ALLOWS USERS TO TEST PERFORMANCE, COMPATIBILITY, AND SEARCH ACCURACY ON THEIR SPECIFIC HARDWARE PRIOR TO PURCHASE, NO DISCRETIONARY REFUNDS ARE GRANTED ONCE A DIGITAL LICENSE KEY HAS BEEN GENERATED.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE SOFTWARE, ACCOMPANYING DOCUMENTATION, AND ASSOCIATED WEBSITES ARE PROVIDED SOLELY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. VIGAM LABS AND ITS MERCHANT OF RECORD (DODO PAYMENTS INC.) EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIGAM LABS OR DODO PAYMENTS INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER (INCLUDING LOST PROFITS, LOST AUDIO PROJECTS, OR SYSTEM MALFUNCTIONS). IN NO EVENT SHALL TOTAL AGGREGATE LIABILITY EXCEED THE ACTUAL PURCHASE PRICE PAID BY YOU FOR THE KLANG PRO LICENSE.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat and venue of arbitration shall be Bengaluru, Karnataka, India, and proceedings shall be conducted in English.

2. The Local-First Desktop Architecture (Zero Sound Uploads)

The KLANG desktop application executes all audio analysis, feature extraction, neural embeddings, and vector queries 100% locally on your personal computer:

Zero Audio Uploads: Your sample libraries, sound recordings, instruments, stems, loops, and synthesizer presets are processed entirely on your local CPU and GPU. Your audio files are never uploaded, streamed, or transmitted to any server.
Zero Audio Surveillance: Directory structures, file names, audio durations, musical keys, waveforms, and sound tags remain strictly confined to your local hard drive.
Local Vector Database: The CLAP multimodal neural embeddings and HNSW vector index databases reside locally in your user application data folder and are never synchronized or backed up to VIGAM Labs infrastructure.
Zero Desktop Telemetry: The desktop application contains no background analytics SDKs, no behavioral trackers, no telemetry probes, no automatic update pingers, and no automated crash reporting modules.

3. Information We Collect and How We Use It

3.1 Website Traffic (Vercel Web Analytics)

When you browse our official website, we utilize Vercel Web Analytics to measure aggregated site visits:

Privacy Standard: Vercel Web Analytics does not use tracking cookies, does not log raw personal IP addresses, and does not track users across unrelated websites or sessions.

3.2 Commercial Checkout and Billing Information (Dodo Payments Inc.)

All commercial transactions for KLANG Pro licenses are processed exclusively by our authorized reseller and Merchant of Record, Dodo Payments Inc.:

Data Handled by Dodo Payments: Full name, billing address, email address, payment card tokens, IP address (for tax jurisdiction compliance), and tax exemption IDs.
PCI-DSS Compliance: Dodo Payments maintains PCI-DSS Level 1 certified security vaults. VIGAM Labs never collects, processes, or stores your credit card numbers, debit card CVVs, or bank account credentials.

3.3 Direct Customer Support Communications

If you send an inquiry to our support email (klang.help@outlook.com), we collect your email address, name, order reference number (if applicable), and correspondence history solely to resolve technical queries and verify license entitlements.

1. General Principle and Strict No-Refund Policy

VIGAM Labs provides specialized digital audio software engineered for music production, digital signal processing (DSP), and offline sample organization.

ALL PURCHASES OF KLANG PRO DIGITAL SOFTWARE LICENSES ARE STRICTLY FINAL, BINDING, AND NON-REFUNDABLE.

Because VIGAM Labs provides an unrestricted KLANG Free evaluation version that allows any prospective customer to download, install, test, and evaluate the Software—including its local indexing speed, DAW drag-and-drop compatibility, audio search accuracy, and system resource footprint—free of charge prior to purchasing a Pro license, our sales are conducted on a firm, non-returnable basis.

By placing an order for a KLANG Pro license via our Merchant of Record (Dodo Payments Inc.), you expressly acknowledge and agree that:

You have had adequate opportunity to evaluate the Free version of KLANG on your designated computer hardware;
Digital software licenses are digital goods that are delivered immediately upon checkout;
You waive any discretionary right of withdrawal or return once the digital license key has been generated and dispatched.

2. Non-Waivable Statutory Rights Exception

Nothing in this Policy is intended to limit, exclude, or disclaim any statutory consumer rights that cannot be lawfully waived or modified under the mandatory consumer protection laws of your jurisdiction.

For consumers in jurisdictions with statutory right-of-withdrawal mandates (e.g. EU/UK), rights are waived upon immediate delivery with prior express consent. For verified statutory defect conformity claims, VIGAM Labs provides technical remedies as detailed below.

3. Electronic Delivery and Technical Defect Remedies

3.1 Digital Fulfillment Guarantee

KLANG Pro license keys and installer links are electronically delivered to the email address entered during checkout immediately upon checkout completion (typically under 60 seconds).

If you have completed checkout but have not received your license key within two (2) hours, please check your spam filters and contact klang.help@outlook.com with your order ID.

3.2 Technical License Activation Remedies

If an electronically delivered license key is cryptographically corrupted, invalid, or fails to activate the Software on an eligible computer environment meeting our published minimum system requirements (Windows 10/11 64-bit or macOS 14+ Apple Silicon):

You must report the issue to klang.help@outlook.com within fourteen (14) calendar days of purchase;
Our engineering team will investigate and provide an active replacement key or technical fix within our standard support response SLA of 2 to 4 business days;
If VIGAM Labs determines that a verified technical failure on our licensing server prevents activation and cannot be resolved within seven (7) business days, VIGAM Labs will authorize our Merchant of Record to issue a full refund.

4. Subscription Cancellation (Not Applicable)

KLANG Pro is sold strictly as a one-time perpetual digital license. There are no recurring subscriptions, automatic monthly/annual renewals, or unexpected recurring fees.

5. Dispute Resolution and Chargeback Protection

We strongly urge customers to contact us directly at klang.help@outlook.com prior to initiating any payment dispute or chargeback with their bank or credit card provider. In the event of an unauthorized chargeback, the associated license key will be permanently deactivated and blacklisted on our licensing servers.
